1. Introduction

Welcome to Marloo, a service provided by Marloo Limited. These Terms of Use govern your access to and use of Marloo, our tools for transcription, compliance, and workflow automation. By using Marloo, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you must not use the service.

2. Definitions
  • “Marloo” refers to the service provided by Marloo Limited, including the software, website, and all associated features.

  • “User” or “You” refers to individuals or entities who use Marloo.

  • “Client Data” refers to any data input, processed, or recorded within Marloo, including meeting transcripts, financial information, and personal details.

3. Access to and Use of Marloo

You are granted a limited, non-exclusive, non-transferable right to use Marloo for its intended purpose. You agree to:

  • Use Marloo in compliance with all applicable laws, regulations, and these Terms.

  • Ensure that any client data shared within Marloo is accurate, lawful, and properly authorised for use.

  • Not misuse Marloo, including any actions that may harm, disrupt, or impair the functionality or security of the service.

Marloo Limited reserves the right to modify, suspend, or terminate access to the service without notice, should a breach of these Terms occur or in circumstances of security risk.

4. User Obligations & Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and ensuring any data entered into Marloo is authorised and compliant with relevant privacy laws. Users must not:

  • Share account access or allow unauthorised third parties to access Marloo.

  • Engage in illegal, unethical, or unauthorised use of Marloo or its services.

  • Upload, store, or share any content that is offensive, defamatory, fraudulent, or infringing on others’ rights.

5. Data Privacy & Security

Our Privacy Policy outlines how Marloo Limited handles and processes personal and client data, including your rights and obligations under applicable data protection regulations (e.g., GDPR, CCPA, New Zealand Privacy Act 2020, and Australian Privacy Principles (APPs)). By using Marloo, you consent to our data collection and handling practices as described in our Privacy Policy.

We take appropriate technical and organisational measures to protect the security and confidentiality of client data. However, you acknowledge that no data transmission or storage system can be guaranteed to be 100% secure.

6. Intellectual Property
  • All rights, title, and interest in Marloo, including the software, website, trademarks, and related intellectual property, belong to Marloo Limited. You are not granted any ownership rights.

  • Any data inputted into Marloo by users remains their property, and Marloo Limited does not claim ownership over user-generated content.

  • You may not copy, modify, distribute, or reverse-engineer any part of Marloo, unless expressly permitted by Marloo Limited.

7. Payment & Fees

Use of Marloo may be subject to fees as outlined in your subscription plan or agreement with Marloo Limited. Payments are due as specified, and failure to meet payment obligations may result in the suspension or termination of your access to Marloo.

All fees are non-refundable, unless otherwise specified under applicable consumer protection laws.

8. Service Availability & Support

Marloo is designed to provide reliable, continuous service. However, we do not guarantee uninterrupted availability and may occasionally need to perform maintenance or updates. Marloo Limited is not responsible for any interruptions or delays outside our control.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Marloo Limited is not liable for any indirect, consequential, or incidental damages arising from your use of Marloo.

  • Marloo Limited’s total liability for any claim related to your use of the service is limited to the amount paid for the service in the 12 months preceding the event giving rise to the liability.

These limitations apply regardless of the nature of the claim, whether in contract, tort (including negligence), or any other theory of liability.

10. User-Generated Content & Compliance

You are responsible for all content and data input into Marloo. You warrant that such data is lawful, accurate, and does not infringe upon third-party rights. Marloo Limited reserves the right to remove or restrict any content that breaches these Terms or is otherwise harmful.

Compliance with relevant data protection and privacy laws is the user’s responsibility, particularly when handling sensitive client data. You agree to use Marloo in a manner that upholds these legal obligations.

11. Changes to the Terms of Use

Marloo Limited may update these Terms of Use from time to time to reflect changes in our practices or for legal and regulatory reasons. We will notify users of significant changes by email or through Marloo. Your continued use of Marloo following any updates signifies your acceptance of the revised Terms.

12. Termination & Suspension

You may terminate your use of Marloo at any time by providing written notice to Marloo Limited. Marloo Limited may terminate or suspend your access to the service at any time, with or without notice, for any reason, including breach of these Terms or legal requirements.

Upon termination, your right to access Marloo will immediately cease. Any outstanding obligations or liabilities incurred prior to termination will survive.

13. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of New Zealand, and any disputes arising out of or related to these Terms shall be resolved under the exclusive jurisdiction of the courts of New Zealand.
